仲裁一般是当事人根据他们之间订立的仲裁协议，自愿将其争议提交由非官方身份的仲裁员组成的仲裁庭进行裁判，并受该裁判约束的一种制度。仲裁活动和法院的审判活动一样，关乎当事人的实体权益，是解决民事争议的方式之一。民事争议通常可以采取向法院起诉和申请仲裁机构审理两种方法。仲裁机构和法院不同。法院行使国家所赋予的审判权，向法院起诉不需要双方当事人在诉讼前达成协议，只要一方当事人向有审判管辖权的法院起诉，经法院受理后，另一方必须应诉。仲裁机构通常是民间团体的性质，其受理案件的管辖权来自双方协议，没有协议就无权受理。仲裁的性质关于仲裁的性质，国内外学术界历来纷争不一，代表性的学说主要有：（1）“契约说”（ContractualTheory）。该学说认为，整个仲裁都是基于当事人的共同意志而创立的，没有仲裁协议就没有仲裁，仲裁协议和仲裁裁决是仲裁的两大重点，前者具有契约性，后者也具有契约的特征，因为仲裁...
